Terms of Service

These Terms govern your use of SimpleCut (the “Software”) and the simplecut.app website, provided by [LEGAL ENTITY NAME] (“we”, “us”). By purchasing a license or using the Software, you agree to these Terms.
1. Your license
A paid, active subscription grants you a personal, non-exclusive, non-transferable license to install and use the Software on up to 3 devices that you own or control. You may use it for personal or commercial projects, and you own everything you create with it — we claim no rights over your footage or exported work.
You may not resell, sublicense, or redistribute the Software or your license key, or share your key with people outside your household or organization.
2. Subscription and billing
The Software is sold as an annual subscription at $5/year, billed through Stripe. Your subscription renews automatically each year until cancelled. You can cancel at any time from within the app (Manage subscription) or by contacting us — cancellation takes effect at the end of your current paid period.
We may change the price for future renewal periods. If we do, we will give you notice by email before the change takes effect, and you can cancel before renewing if you don't want to continue.
3. If your subscription ends
When a subscription lapses or is cancelled, editing features are disabled after your paid period ends. Exporting projects you have already created continues to work. We do this deliberately: your work should never be locked inside software you no longer pay for.
4. License validation
The Software checks your license periodically over the internet. It is designed to keep working offline for a grace period of 30 days between successful checks. We do not use hardware DRM, obfuscation, or anti-tamper measures.
5. Your responsibilities
- You are responsible for having the rights to any media you import, edit, or export using the Software.
- You agree not to use the Software to create or distribute material that is unlawful where you are.
- You agree not to attempt to circumvent license validation or the device limit.
Because all processing is local, we have no visibility into what you edit and no ability to moderate it. Responsibility for your content rests with you.
6. Third-party components
The Software bundles open-source components, including FFmpeg for media processing and open-licensed fonts for text overlays. These are governed by their own licenses, which are reproduced in the application's About screen. Nothing in these Terms limits rights granted to you under those licenses.
7. Availability and updates
We aim to keep the website and license service available, but we do not guarantee uninterrupted service. Because the editor runs locally, a service outage does not stop you from working — the offline grace period is designed to cover it.
8. Disclaimer of warranty
The Software is provided “as is”, without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Software will be error-free or that it will meet your requirements. Keep backups of important media and projects.
9. Limitation of liability
To the maximum extent permitted by law, our total liability arising out of or relating to the Software or these Terms is limited to the amount you paid us in the twelve months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages, including lost profits or lost or corrupted data.
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you. Nothing here limits liability that cannot be limited by law, including your statutory consumer rights.
10. Termination
You may stop using the Software at any time. We may suspend or terminate a license if these Terms are materially breached — for example, redistributing license keys. Where we terminate for reasons other than breach, we will refund the unused portion of your subscription.
11. Changes to these Terms
We may update these Terms. If a change is material, we will notify you by email or in the app before it takes effect. Continuing to use the Software after that constitutes acceptance.
12. Governing law
These Terms are governed by the laws of [JURISDICTION], without regard to conflict-of-law rules. This does not deprive you of protections under mandatory laws of your country of residence.
